The four phases, at a glance

Forming a 501(c)(3) moves through four phases. This kit helps you see the whole map and find where you are, the detailed, step-by-step doing is what the Nonprofit Formation handles.

  1. Pre-formation (about weeks 0–4), nail your purpose, name, and founding board before you file anything.
  2. State incorporation (about weeks 4–6), file Articles of Incorporation with your state and get your EIN.
  3. IRS application (about weeks 6–24), file Form 1023-EZ or the full Form 1023 and wait for your Determination Letter.
  4. After your Determination Letter (ongoing), annual Form 990 filings, state renewals, and good records keep your status alive.

Where are you right now?

Find the line that fits, and you will know your single next move:

Find your spot
  • Still deciding, no board yet → Phase 1. Next move: lock your purpose and line up three or more independent board members.
  • Ready to file with the state → Phase 2. Next move: file Articles with the IRS purpose and dissolution language, then get your EIN.
  • Incorporated, EIN in hand → Phase 3. Next move: confirm whether you qualify for the 1023-EZ, then file.
  • Have your Determination Letter → Phase 4. Next move: calendar your annual Form 990 and any state renewals.

How long, and how much

Two honest expectations before you start:

Inside each phase are specific filings and exact language that are easy to get wrong the first time, that is the part the Nonprofit Formation generates for you.

Do not wrestle the steps alone

The Nonprofit Formation walks you through every phase, state-specific Articles, bylaws, and the IRS application, all 50 states. Part of the Formation Suite.
